I know it’s been awhile, because I have been heads-down on several deals, as well as
trying to take some personal time over the summer.
Reconnecting with other M & A professionals recently, it seems most of us are
experiencing similar market situations;
- Lots of deal volume on the smaller side
- Fatigued and ready sellers, willing to exit at a reasonable price (vs top dollar)
- Increasing complexity and structuring, as buyers seek to manage performance
risk - Less cash up front, with the seller needing to share some of the future risk by
way of Earn-outs &/or Equity retention - Extended due diligence by the Buyer
- Tighter Bank financing approvals & secondary due diligence
- Buyers’ characteristics are widespread, including management buyouts, partner
shotguns, and strategic rollups - Economic uncertainty adding a layer of risk to future performance expectations
In this climate, negotiating a successful acquisition or equity sale takes more than
expertise and experience. It also requires concentrated focus, serious goal-setting with
timeline management and the stamina to go the distance.
